Welcome to Leadspro Kenya ("we," "us," "our," or "Leadspro"). These Terms and Conditions ("Terms") govern your access to and use of the Leadspro Kenya website, mobile applications, and services (collectively, the "Platform"), operated by Leadspro Kenya, headquartered at Nairobi Garage, Westlands, Nairobi, Kenya.

By accessing, registering for, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our Platform.

For the purposes of these Terms, the following definitions apply:

• "User" refers to any individual who registers on the Platform to request services from verified providers.
• "Business" or "Service Provider" refers to any company, organization, or individual registered on the Platform to offer services and receive leads.
• "Influencer" refers to any individual who promotes the Platform to earn commissions via referrals.
• "Lead" refers to a service request submitted by a User that is matched to one or more Businesses.
• "Commission" refers to the earnings paid to Influencers for successful referrals.
• "M-Pesa" refers to the mobile money transfer service operated by Safaricom PLC, used for payouts on our Platform.
• "Content" refers to all text, images, data, information, and other materials submitted, posted, or displayed on the Platform.

To access certain features of the Platform, you must register for an account. During registration, you agree to:

• Provide accurate, current, and complete information about yourself or your business.
• Maintain the security of your account credentials and not share them with third parties.
• Promptly update your account information if any details change.
• Accept responsibility for all activities that occur under your account.
• Be at least 18 years of age or the legal age of majority in your jurisdiction.

We reserve the right to suspend or terminate accounts that provide false information, engage in fraudulent activity, or violate these Terms in any way.

Leadspro Kenya operates a multi-sided platform connecting Users with verified Service Providers across the following categories:

• Finance & Loans: Personal loans, business loans, insurance coverage, loan phones, and financing solutions.
• Real Estate: Property sales, rentals, property management, and real estate advisory.
• Automotive: Car sales, car financing, and vehicle insurance.
• Technology: WiFi and internet solutions, IT support, and tech services.
• Education: Professional courses, certifications, and training programs.

We do not provide the actual services listed on the Platform. We facilitate connections between Users and independent Service Providers. All service agreements, payments for services, and contractual obligations are strictly between the User and the Service Provider.

Businesses registering on Leadspro Kenya agree to the following terms:

• Verification: You must provide accurate business registration documents, proof of physical location, and relevant industry licenses. All information is subject to verification by our team.
• Lead Response: You agree to contact matched Users within 24 hours of receiving a lead notification.
• Professional Conduct: You must interact with Users professionally, honestly, and in compliance with all applicable Kenyan laws and regulations.
• Pricing Transparency: You must provide clear, honest pricing without hidden fees or misleading quotes.
• Quality Standards: You must deliver services that meet or exceed industry standards. Repeated complaints may result in account suspension.

Individuals participating in our Influencer Program agree to:

• Ethical Promotion: Promote Leadspro Kenya honestly and accurately. Do not make false claims about earnings, services, or outcomes.
• Unique Links: Use only the referral links provided in your dashboard. Tampering with or manipulating tracking codes is prohibited.
• No Spam: Do not engage in spam, unsolicited messaging, or promotion on platforms where it violates terms of service.
• Tax Obligations: You are responsible for reporting and paying all applicable taxes on your earnings. We will provide necessary documentation upon request.
• Account Standing: Maintain active status. Accounts inactive for 12 months may be subject to commission forfeiture.

All financial transactions on the Platform are governed by the following policies:

• For Users: Submitting service requests is completely free. You pay Service Providers directly for any services rendered. Leadspro does not handle service payments between Users and Providers.
• For Businesses: Lead access fees, subscription charges, and commission payments are processed via M-Pesa or bank transfer. All fees are exclusive of applicable taxes unless stated otherwise.
• For Influencers: Earnings are calculated based on verified conversions. We reserve the right to withhold payment pending investigation of suspected fraudulent referrals.

All prices are listed in Kenyan Shillings (KES). We are not responsible for exchange rate fluctuations or bank charges for international transactions.

All Platform users must conduct themselves lawfully and respectfully. The following activities are strictly prohibited:

• Using the Platform for any illegal purpose or in violation of any local, national, or international law.
• Submitting false, misleading, or fraudulent information during registration or service requests.
• Harassing, abusing, or threatening other users, Service Providers, or Leadspro staff.
• Attempting to hack, disrupt, or interfere with the Platform's security or functionality.
• Scraping, data mining, or using automated tools to extract information from the Platform without written consent.
• Impersonating any person or entity, or falsely stating your affiliation with any person or entity.
• Uploading viruses, malware, or other harmful code.
• Using the Platform to send unsolicited commercial communications (spam).

Violation of these rules may result in immediate account suspension, termination, and referral to law enforcement authorities where appropriate.

Your privacy is critically important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy commitments:

• We collect only the information necessary to provide and improve our services.
• We do not sell, rent, or trade your personal information to third parties for marketing purposes.
• Your contact details are shared with matched Service Providers only after you submit a service request.
• We implement industry-standard encryption and security measures to protect your data.
• You have the right to access, correct, or delete your personal information at any time.

To the maximum extent permitted by applicable law:

• Leadspro Kenya acts solely as an intermediary connecting Users with Service Providers. We do not endorse, guarantee, or warrant the quality, safety, or legality of any services provided by third-party businesses.
• We are not liable for any disputes, damages, losses, or injuries arising from interactions between Users and Service Providers.
• We do not guarantee continuous, uninterrupted, or secure access to the Platform, and operation may be interfered with by numerous factors outside our control.
• In no event shall Leadspro Kenya, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, Service Providers, Leadspro Kenya, or third parties.

Grounds for immediate termination include but are not limited to:

• Fraudulent activity or misrepresentation.
• Repeated failure to respond to leads (for Businesses).
• Spam or abusive promotion practices (for Influencers).
• Violation of applicable laws or regulations.
• Failure to pay outstanding fees after reasonable notice.

Upon termination, all licenses and other rights granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

In the event of a dispute:

• Negotiation: Both parties agree to first attempt to resolve any dispute informally by contacting support@leadspro.co.ke.
• Mediation: If informal negotiation fails, parties agree to attempt mediation through a mutually agreed mediator in Nairobi, Kenya.
• Arbitration: If mediation is unsuccessful, disputes shall be finally resolved by binding arbitration under the Arbitration Act of Kenya.
• Courts: Notwithstanding the above, either party may seek injunctive or other equitable relief in the courts of Kenya.

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or Platform features. When we make material changes:

• We will post the updated Terms on this page with a revised "Last Updated" date.
• We will notify active users via email or Platform notifications at least 7 days before material changes take effect.
• Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically. If you do not agree to the revised Terms, you must stop using the Platform immediately.
