Introduction

Who we are and what this agreement covers

Welcome to Leadspro Kenya ("the Platform", "we", "us", or "our"), a multi-sided digital marketplace operated from Nairobi Garage, Westlands, Nairobi, Kenya. Our email address is support@leadspro.co.ke.

This Service Agreement ("Agreement") is a legally binding contract between Leadspro Kenya and any individual or entity ("you", "the User", "the Business", or "the Influencer") who registers, accesses, or uses the Leadspro Kenya platform at leadspro.co.ke.

By creating an account or using our services, you confirm that you have read, understood, and agree to be bound by this Agreement, our Privacy Policy, and any other policies published on the platform.

📌 Quick note: If you do not agree with any part of this Agreement, you must not register or use the Leadspro Kenya platform. Continued use after any updates constitutes acceptance of the revised terms.

Definitions

Key terms used throughout this agreement

To ensure clarity throughout this Agreement, the following terms are defined as follows:

  • Platform — The Leadspro Kenya website (leadspro.co.ke), mobile interface, dashboards, and all associated services.
  • User — Any individual who registers on Leadspro to request and receive services from verified service providers.
  • Business / Service Provider — A company or individual registered on Leadspro to access customer leads and offer services.
  • Influencer — A registered individual who promotes Leadspro Kenya and earns commissions for qualifying referrals.
  • Lead — A verified service request submitted by a User, containing contact details forwarded to matching Businesses.
  • Commission — The monetary reward paid to an Influencer for successfully referring a qualifying User or Business to the platform.
  • M-Pesa — Safaricom's mobile money transfer service used for all commission withdrawals on the platform.
  • Verification — The process by which Leadspro Kenya confirms the legitimacy, identity, and service quality of Businesses before granting lead access.

Eligibility

Who can use Leadspro Kenya

To register and use the Leadspro Kenya platform, you must meet the following requirements:

  • Be at least 18 years of age at the time of registration
  • Be a resident of or operating within the Republic of Kenya
  • Provide accurate, truthful, and complete registration information
  • Possess a valid M-Pesa registered phone number (required for influencer withdrawals)
  • Have the legal capacity to enter into a binding contract under Kenyan law
  • You may not register on behalf of another person without their express written consent
  • You may not create multiple accounts for the same individual or entity
⚠️ Businesses must additionally complete Leadspro's verification process before receiving any customer leads. Incomplete or fraudulent business profiles will be rejected and may result in permanent banning from the platform.

Roles & Obligations

What each account type must do

Leadspro Kenya operates as a three-sided platform. Each role comes with specific rights and responsibilities:

  • Not misuse provider contact details

  • Complete full verification before accessing leads
  • Contact users only about their requested service
  • Maintain professional standards at all times
  • Not resell or share lead data with third parties

  • Promote Leadspro honestly and accurately
  • Not use misleading claims to attract referrals
  • Only use official referral links from their dashboard
  • Not self-refer or engage in fraudulent activity

Platform Use & Prohibited Conduct

Acceptable and unacceptable use of the platform

Leadspro Kenya grants you a limited, non-exclusive, non-transferable licence to access and use the platform for its intended purposes. The following conduct is strictly prohibited:

  • Creating fake accounts, false identities, or impersonating others
  • Submitting fraudulent service requests or fabricated business profiles
  • Using the platform to engage in any illegal activity under Kenyan law
  • Attempting to reverse-engineer, hack, or disrupt the platform's infrastructure
  • Harvesting or scraping user data from the platform without authorisation
  • Sharing your login credentials with any third party
  • Using automated bots, scripts, or tools to interact with the platform
  • Engaging in spam, unsolicited messaging, or harassing other users
🚫 Violation of these terms may result in immediate account suspension or permanent ban without refund. Leadspro Kenya reserves the right to report illegal activity to the relevant Kenyan authorities.

Payments & M-Pesa Withdrawals

How commissions and transactions work

All financial transactions on Leadspro Kenya are processed through Safaricom's M-Pesa payment platform. The following terms govern all payment activity:

💰 Commission Earnings

Influencer commissions are calculated based on qualifying referrals as defined in your Influencer dashboard. Rates are subject to change with 7 days' notice.

📲 Withdrawal Process

Withdrawals are initiated from your dashboard. Your M-Pesa number must match your registered account number. Processing is completed same-day on business days.

⏱️ Payment Timelines

Commissions become withdrawable after a verification period. Leadspro reserves the right to hold commissions suspected of being generated fraudulently.

🚫 Fraudulent Earnings

Any commission earned through self-referral, fake accounts, or other fraudulent means will be reversed and the account permanently terminated.

Lead Quality & Business Standards

How leads work and business responsibilities

Leadspro Kenya endeavours to provide businesses with high-quality, intent-driven leads from users who have actively requested their services. However, the following conditions apply:

  • Leadspro guarantees that each lead is from a genuine user who submitted a service request — not a cold list or purchased data
  • Businesses will receive leads only within their registered service category and geographic area
  • Lead contact details must be used solely to respond to that specific service request — no general marketing permitted
  • Lead data may not be sold, shared, or transferred to any third party under any circumstances
  • Businesses may not contact leads more than three times without expressed interest from the user

Leadspro Kenya does not guarantee conversion rates. A lead represents an interested inquiry — successful service delivery depends entirely on the Business.

Intellectual Property

Ownership of platform content and branding

All content on the Leadspro Kenya platform — including the brand name, logo, website design, text, software, data structures, and graphics — is the exclusive property of Leadspro Kenya and is protected under Kenyan intellectual property law.

  • You may not reproduce, copy, distribute, or commercially exploit any Leadspro content without prior written permission
  • You may not use the Leadspro name, logo, or branding in any way that implies endorsement or affiliation beyond your authorised Influencer role
  • Influencers are granted limited, revocable permission to use approved Leadspro marketing materials strictly for authorised promotion activities

Limitation of Liability

What Leadspro Kenya is and is not responsible for

Leadspro Kenya operates as a platform intermediary — we connect users, businesses, and influencers but are not a party to any service agreements made between them. Accordingly:

  • Leadspro is not liable for the quality, safety, or outcomes of any service delivered by a Business to a User
  • Leadspro is not responsible for disputes between users and service providers arising outside our platform
  • Leadspro does not guarantee uninterrupted platform access and is not liable for losses due to downtime, bugs, or outages
  • We commit to making reasonable efforts to ensure platform availability, data accuracy, and service quality
  • Our liability shall not exceed the total fees paid by you to Leadspro in the 3 months preceding any claim
⚠️ Users are advised to conduct their own due diligence before engaging any service provider, even verified ones. Verification confirms legitimacy — it does not constitute a guarantee of service quality or satisfaction.

Account Suspension & Termination

When and how accounts can be closed

Either party may terminate this Agreement at any time. The following terms apply:

  • User-initiated closure: You may request account deletion at any time by emailing support@leadspro.co.ke. Pending withdrawals will be processed before closure.
  • Leadspro-initiated suspension: We may suspend or terminate any account immediately if we detect fraud, policy violations, illegal activity, or abuse of the platform.
  • Inactive accounts: Accounts with no activity for 12 consecutive months may be deactivated. You will receive 30 days' email notice before this occurs.
  • Upon termination for policy violations, any pending or unpaid commissions may be forfeited.

Dispute Resolution

How we handle complaints and disagreements

We are committed to resolving any disputes fairly and efficiently. The following process applies:

  • 1
    Direct Resolution: Contact our support team at support@leadspro.co.ke within 30 days of the issue arising. We aim to respond within 5 business days.
  • 2
    Internal Review: If unresolved, the matter will be escalated to our management team for a formal review within 14 business days.
  • 3
    Mediation: Should the dispute remain unresolved, both parties agree to pursue mediation through a mutually agreed mediator before escalating to litigation.
  • 4
    Litigation: Unresolved disputes shall be submitted to the jurisdiction of the courts of Nairobi, Kenya as a last resort.

Governing Law

The legal framework that applies

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Kenya, including but not limited to:

  • The Data Protection Act, 2019 — governing the collection and use of personal data
  • The Computer Misuse and Cybercrimes Act, 2018 — governing digital platform conduct
  • The Consumer Protection Act, 2012 — governing service standards and user rights
  • The Kenya Information and Communications Act — governing electronic commerce

If any provision of this Agreement is found to be unenforceable under Kenyan law, the remaining provisions shall continue to apply in full.
